Overview As Corporate Counsel at Ginkgo Bioworks, you will steer complex business transactions and collaborations that fuel our lab-automation platform. You'll partner with cross functional teams to enable growth while protecting the company through sound, scalable legal frameworks. You will negotiate and draft a wide range of agreements, from software and licenses to material transfers and procurement, in a fast-paced, innovation driven environment. Responsibilities- Lead and negotiate diverse agreements with customers, vendors, and partners (hardware purchases, collaboration and licensing, software/SaaS, MSAs, MTAs, procurement contracts).
- Provide balanced legal guidance across business development, operations, finance, HR, and technical programs to enable opportunities while managing risk.
- Review and draft term sheets and transaction documents from start to finish across multiple business units.
- Grow and maintain internal agreement templates, models, and governance materials.
- Guide operations and alliance management to sustain partnerships with customers and collaborators.
- Ensure compliance across transactions and new offerings by reviewing technical and logistical materials.
- Utilize generative AI and legal tech tools to accelerate workflows and manage multiple deals in a dynamic environment.
- Collaborate with commercial, technical, and legal teams to build consensus and assign ownership on complex initiatives.
Key requirements- 3+ years of legal practice in a law firm or corporation; JD and bar admission in the United States
- Experience handling complex transactions including software licenses, technology agreements, MTAs, collaborations, and stock or investor agreements
- Ability to work on-site 5 days/week and operate in a fast-paced environment
- Strong judgment and risk assessment with clear, timely communication of issues
- Proven leadership in cross-functional programs with company-wide impact
