Overview In this role you will serve as the primary legal partner for liquidity and financial markets, guiding strategy and transactional support across Treasury pillars. You will craft and negotiate instruments like LPAs, side letters, ISDAs, CSAs, and debt structures, while addressing cross-border regulatory considerations. You'll collaborate with Treasury, Tax, and Accounting on high-stakes initiatives and global deals, shaping financing and risk management at a leading tech company. Expect exposure to multi-jurisdictional matters and close partnership with division leaders and external firms for impactful outcomes.
Responsibilities- Serve as the primary legal partner for Treasury pillars and fund commitments, side letters, subscriptions, LPAs, and co-investments; draft and discuss ISDAs, CSAs, prime broker, clearing, reinsurance, and insurance arrangements
- Provide execution support on debt capital markets and corporate financings, including bonds, guarantees, letters of credit, facilities, commercial paper, and covenant compliance
- Advise on cross-border regulatory impacts related to securities laws, lending, derivatives regulations (Dodd-Frank, EMIR), and the Investment Company Act of 1940
- Partner with Treasury, Tax, and Accounting on high-stakes initiatives, risk assessments, and new financial transactions
- Collaborate with division directors, fiscal stakeholders, and external law firms on prominent multi-jurisdictional matters
Key requirements- JD, LL.B., equivalent degree, or equivalent practical experience
- Admitted to the bar in the state of position or authorized to practice law (in-house status)
- 3 years of attorney-level experience in private investment funds (LPAs, side letters, subscription agreements) or derivatives/trading counterparty agreements (ISDAs, CSAs)
