Overview In this role you will serve as a key legal advisor driving McCormick's global growth through complex transactions. You will partner with senior leaders across a cross functional, multinational environment to structure, negotiate, and close mergers, acquisitions, divestitures, joint ventures, and other strategic transactions. The role also covers governance and strategic initiatives, with a focus on high impact work and external counsel coordination. Responsibilities- Lead legal execution of domestic and international acquisitions, divestitures, joint ventures, minority investments, and strategic partnerships
- Manage transaction lifecycle from structuring and diligence through negotiation, signing, closing, and post closing integration
- Draft and negotiate purchase, joint venture, shareholder, and related transaction documents
- Coordinate and oversee external counsel across jurisdictions for cost effective, high quality support
- Advise on transaction structure, risk allocation, regulatory considerations, and integration strategy
- Structure and negotiate joint ventures and other collaborations; advise on governance, capital structures, exits, and dispute provisions
- Support legal aspects of corporate financing transactions including credit facilities, debt offerings, and refinancing; draft related financing documents
- Oversee global subsidiary governance and support formation, restructuring, and integration of entities
- Develop and maintain legal templates, playbooks, and best practices for strategic transactions
Key requirements- J.D. from an accredited law school and active membership in good standing with at least one U.S. state bar
- 4-6 years of relevant legal experience with significant M&A and corporate transactional work
- Strong knowledge of corporate governance matters
- Experience with cross-border transactions and managing international counsel preferred
- Exceptional drafting, negotiation, and analytical skills
- Ability to manage multiple complex matters simultaneously
- Strong executive presence and ability to interact with senior leadership and Board members
- Willingness to learn and master new legal practice areas
- Ability to adapt to changing situations and handle diverse legal issues
- Ability to develop and maintain long-term relationships at all company levels
