Overview In this BD Counsel role, you guide Biogen through complex strategic transactions and partnerships that drive product development and growth. You will lead transaction structuring, diligence, and term sheet preparation, acting as the primary attorney on key deals. You collaborate with cross-functional teams to align legal strategy with business aims and regulatory requirements. The role offers meaningful impact at the intersection of law, science, and corporate strategy, supporting Biogen's mission to deliver life-changing medicines.

Responsibilities- Lead due diligence for strategic transactions and advise on structures and business terms
- Prepare non-binding term sheets and negotiate/execute definitive agreements
- Act as primary responsible attorney on strategic deals throughout the transaction process
- Collaborate with business development, finance, tax, R&D, and commercial teams
- Coordinate with IP and other legal specialists as needed
- Manage and optimize external law firms for strategic matters
- Oversee budgets for legal services and ensure timely, high-quality work
- Ensure transactional activities comply with internal policies and applicable laws
- Provide ongoing legal support to internal clients in BD and other departments
Key requirements- 12+ years experience in corporate law in a top law firm and/or in-house
- Experience with license agreements, collaborations, consortiums, VC transactions, M&A
- JD with active bar licensure
- Strong intellectual capacity and business counseling presence
- Excellent decision-making and communication skills
- Proven ability to establish and manage legal and risk management practices
