Responsibilities- Represent clients in complex securities class actions, shareholder litigation, and related disputes
- Defend public companies, boards, officers, and financial institutions in high stakes matters
- Draft and argue motions, briefs, pleadings, and appellate filings in federal and state courts
- Oversee all phases of litigation including discovery, witness prep, depositions, experts coordination, and trial prep
- Handle shareholder derivative actions, fiduciary duty claims, and governance disputes
- Support clients facing SEC investigations, enforcement actions, and regulatory proceedings
- Participate in mediations, settlements, and strategic resolution efforts
- Collaborate with attorneys across litigation, corporate, white collar, investigations, and regulatory groups
- Conduct sophisticated legal analysis on securities laws, disclosure obligations, governance, and enforcement
Key requirements- JD from a top tier law school
- Active Bar Admission in Massachusetts, New York, or California in good standing
- 4-7 years of substantive securities litigation experience
- Extensive experience litigating securities matters in federal courts and/or Delaware Court of Chancery
- Experience representing public companies, boards, officers, financial institutions, and corporate clients in complex disputes
- Strong background handling securities class actions with motions to dismiss, summary judgment, and appellate briefs
- Experience with shareholder derivative litigation, governance disputes, and shareholder demand matters
- Ability to manage all litigation phases and coordinate with experts
- Familiarity with SEC investigations and related regulatory matters
- Exceptional legal writing, analytical, and research skills
- Strong strategic thinking and business judgment
- Experience working effectively in large litigation teams
