Overview In this role, you will negotiate and manage high-volume pre-M&A contracts for sophisticated investment funds and asset managers, serving as the primary client liaison and trusted advisor. You will guide contract playbooks, mentor junior lawyers and paralegals, and help evolve Carta's AI-enabled legal tech. You'll operate in a fast-paced Contracts team that delivers high-volume work with speed, supported by Ava. This role combines client-facing advisory with shaping how we apply technology to legal workflows, contributing to Carta's mission in private capital.

Responsibilities- Negotiate and manage high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, engagement letters) with counterparties and within turnaround times
- Serve as day-to-day primary contact for clients, building trusted advisor relationships with sophisticated investment funds and asset managers
- Maintain and update client playbooks to ensure consistency and quality across contract negotiations
- Collaborate with and mentor junior lawyers and paralegals, reviewing work and fostering a high-performing team culture
- Contribute to the ongoing improvement of Carta's legal technology suite, exploring AI-backed tooling and process innovations
Key requirements- 6-8+ years of post-law-school corporate or transactional experience
- Proven track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters)
- Licensed to practice law in the Americas (US/Canada)
- Experience with financial services, asset managers, investment banks, or similar firms
- Commercially minded and client-focused with ability to communicate legal advice crisply
- Tech-savvy and adaptable, comfortable with AI tools and legal tech (e.g., HighQ)
- Self-starter, thrives in a fast-paced environment, prioritizes effectively and seeks continuous improvement
