Overview In this role you lead sophisticated M&A transactions and partner with leadership to deliver practical counsel for a diverse client base. You drive the full deal cycle from planning to closing, oversee due diligence, and shape transaction terms. You advise on governance, privacy, and regulatory matters impacting deals, while supervising junior staff and contributing to the practice's development. This position offers meaningful ownership of matters in a collaborative, growth minded environment. You will help scale the firm by delivering high quality, commercially grounded guidance to middle market, closely held, and multinational clients.
Responsibilities- Lead the execution of mergers, acquisitions, and strategic corporate matters from planning through closing
- Prepare, review, and negotiate principal deal documents with focus on risk, objectives, and structure
- Oversee due diligence, organize findings, and influence terms based on commercial and legal considerations
- Advise on corporate governance, ownership issues, and day to day business matters for privately held companies
- Provide counsel on privacy and data protection and related regulatory concerns during transactions
- Direct communications with clients, opposing counsel, and outside advisors with commercially grounded recommendations
- Supervise and mentor attorneys and staff to maintain high quality work products
- Contribute to practice development and internal process improvements to enhance efficiency and collaboration
