Overview

In this role you will provide legal guidance on transactional matters for DTCC's businesses and partner with cross-functional teams to execute complex contracts. You will draft and negotiate a wide range of agreements, balancing business goals with risk mitigation. You will support strategic transactions, due diligence processes, and continuous improvement of contract processes. This is a global, collaborative, and high-standard environment where you help enable growth while managing legal risk.

Responsibilities
  • Provide legal guidance on transactional matters including customer agreements, strategic partnerships, new product offerings, and business initiatives
  • Draft, review and negotiate contracts such as data/software licenses, SaaS, development, partnership, marketing, and professional services agreements
  • Advise on legal and contractual aspects of responses to client due diligence requests, RFIs and RFPs
  • Collaborate with business, technology, risk, compliance, procurement, and finance to support transaction execution and risk-based decisions
  • Improve standard form agreements and contract policies within the General Counsel's Office
  • Support strategic transactions including M&A, divestitures, investments, JVs, and partnerships with diligence, drafting, negotiation, closing, and post-closing work
  • Coordinate consistency of legal issues across DTCC with Europe and APAC teams
  • Handle other legal matters or ad-hoc projects as requested by leadership
Key requirements
  • 7-10 years as a practicing attorney
  • J.D. from an accredited law school; current U.S. bar admission
  • Minimum 5 years of experience with a law firm, financial services firm, or financial services regulator
  • At least 5 years of transactional experience with lead drafting and negotiation responsibilities
  • Interest or experience with digital assets and emerging technologies (AI, distributed ledger) a plus
