Overview As Associate General Counsel for Investment Banking and Capital Markets, you provide strategic legal support for securities and M&A work in a leading investment bank. You collaborate with firm attorneys to guide deals, draft and negotiate key documents, and monitor regulatory developments. You will manage outside counsel, oversee special projects, and contribute to committee work, shaping the firm's transactional capabilities. This role offers close partnership with business partners and opportunities to influence capital markets activities at scale.

Responsibilities- Provide legal support to investment banking and capital markets businesses
- Draft, review, and negotiate engagement letters, NDAs, and transaction documents
- Participate in firm committees (commitment, M&A, opinion)
- Monitor regulatory and legislative changes
- Collaborate with internal clients on special projects
- Manage outside counsel and legal expenses
- Assist with third-party matters and ancillary litigation
Key requirements- Experience on securities and M&A transactions
- Self-motivated, detail-oriented problem-solver with strong communication and discretion
- Ability to work both in a team and independently under limited supervision; able to prioritize and meet deadlines; flexible to changing needs
- Willing to work overtime as workload requires
- Large law firm or investment bank experience strongly preferred
- Two to four years of experience preferred
- Licensed in New York or Minnesota, as applicable
