Mergers & Acquisitions Attorney - GA - On Site

As M&A Attorney you will serve as the core legal partner to the Corporate Development team, driving end-to-end support for acquisitions, divestitures, investments, and strategic partnerships. You will draft and negotiate key deal documents, lead due diligence, and act as lead internal counsel throughout the transaction lifecycle. The role involves coordinating with Finance, Tax, HR, IT, and senior leadership to align deals with business objectives and ensure post-closing success. This position offers meaningful impact by shaping strategic growth and scalable deal execution in a fast-paced environment.

• Lead internal legal counsel on mergers, acquisitions, divestitures, investments, and strategic transactions from diligence to closing and post-closing.
• Draft, review, and negotiate principal transaction documents (NDAs, LOIs, term sheets, stock/asset purchase agreements, merger agreements, disclosures, TSAs, employment/retention, and equity documents).
• Collaborate with Corporate Development, Finance, Tax, HR, IT, and senior management to structure and execute transactions.
• Manage all legal due diligence workstreams across governance, contracts, litigation, compliance, employment, IP, data privacy, real estate, and financing.
• Oversee diligence reporting, issue tracking, remediation planning, and closing deliverables.
• Own deal timelines, workplans, and closing checklists; coordinate inputs across functions and manage stakeholders.
• Support post-closing integration and ongoing compliance related to completed transactions.
• Prepare transaction materials for Board/committee review and assist with entity formation and housekeeping related to transactions.
• Develop and maintain M&A processes, templates, and playbooks to enable scalable deal execution.
• Provide backup support for other corporate matters and participate in training or process improvement initiatives.
