Overview

As a legal lead for US Global Equities and Global Investment Banking, you guide transaction structuring within securities laws and regulatory frameworks. You support the structured notes program and advise on equity derivatives and related documentation. You'll draft and negotiate key agreements while ensuring compliance with '33 Act/'34 Act, ISDA, and margin/finance considerations. This role sits at the intersection of business and law, offering growth through high-impact transactions in a hybrid work environment.

Responsibilities
  • Provide legal guidance on structuring transactions for US Global Equities and Global Investment Banking
  • Support structured notes program, advising on new products, marketing, and distribution
  • Advise on issuer call spreads, ASRs, ATM Forwards, 10b5-1/10b-18 plans, structured margin loans
  • Advise on OTC equity derivatives transactions for derivatives and trading desks
  • Draft, review, and negotiate OTC equity derivative confirmations, distribution/marketing agreements, and listed options execution agreements
  • Advise on securities law regulatory matters ('33 Act, '34 Act) as they relate to transaction structuring
Key requirements
  • JD from US ABA accredited law school
  • 7+ years in-house experience supporting equity derivatives desks at a major investment bank
  • US State Bar Admission
  • solutions-oriented with securities law mindset
  • experience drafting, negotiating, and advising on equity derivatives and structured notes documentation
  • deep understanding of securities laws ('33 Act, '34 Act) for equity derivatives
