Overview In this Counsel role, you will lead sophisticated structured finance transactions from initial structuring through closing. You will work within a premier finance team in New York, advising on repurchase and warehouse facilities, securitizations, and related secured financings. You'll draft and negotiate complex financing documents, coordinate across practice groups, and provide strategic guidance on structuring and market developments. This opportunity offers significant client interaction, leadership of deals, and exposure to innovative, asset-backed financing structures.

Responsibilities- Lead transactions from structuring to closing
- Advise on repurchase, warehouse, syndicated credit facilities, securitizations and related secured financings
- Draft and negotiate complex financing and securitization documents
- Support securitization and structured finance across asset classes
- Assist with warehouse credit arrangements and collateral matters
- Manage multiple matters with cross-practice coordination
- Conduct legal research and provide strategic guidance on financing structures
- Structure and execute mortgage-backed and asset-backed financings
- Coordinate with clients, lenders, servicers and transaction participants
- Provide strategic legal advice on structures, risk allocation, and market developments
- Collaborate with finance, capital markets, and related practice areas
Key requirements- JD from a top-tier law school with excellent academic record
- Active New York Bar admission in good standing
- 8+ years of complex financing transaction experience
- Experience advising on repurchase facilities, warehouse facilities, syndicated lines of credit, securitizations, and other secured financings
- Ability to independently manage transactions from structuring through closing
- Extensive drafting, reviewing, and negotiating complex financing and securitization documents
- Strong understanding of repurchase agreements, credit agreements, pooling and servicing agreements, indentures, offering documents, intercreditor arrangements
- Knowledge of mortgage- and asset-backed financing platforms preferred
- Familiarity with servicing arrangements, collateral issues, and market practices
- Ability to manage multiple transactions and deadlines with meticulous attention to detail
