Overview In this role you will support the Legal Department in structuring, negotiating, and closing complex commercial and financing transactions for a growing renewable energy company. You will collaborate with business units across development, project finance, and operations to provide practical, risk-balanced legal advice. You will manage multiple deals, draft essential agreements, and coordinate with internal teams and external partners to advance impactful projects. This is an opportunity to shape the company's commercial and financing activity while developing expertise across corporate and project finance.
Responsibilities- Manage and support corporate and project finance, M&A, and commercial transactions, including due diligence, structuring, drafting and negotiation
- Oversee transaction closings and stakeholder coordination
- Draft, negotiate, and administer key agreements (PPA, REC, asset and stock purchase, consulting/services)
- Support negotiation and drafting of financing documents (loan, tax equity, letters of credit, indemnity, bonding, surety, portfolio credit)
- Supervise outside counsel as needed and perform in-house work
- Provide legal support to Business Development, Integrated Project Delivery, Accounting, and Project Finance teams
Key requirements- 4+ years of experience as a commercial, M&A/corporate, or finance lawyer at a top-tier firm or in-house
- Substantial experience with finance transactions and complex commercial transactions
- Experience drafting and negotiating high-value agreements independently
- Renewable energy project finance experience (debt and tax credit) strongly preferred
- J.D. from ABA-accredited law school; bar admission in at least one state; ability to obtain Tennessee bar admission
