Overview

Senior Attorney, Corporate Securities and M&A at Eastman, focusing on strategic transactions and public-company securities matters in a global environment. You will manage due diligence, drafting, negotiation, and closing of deals, while coordinating with regional counsel and internal stakeholders. The role also supports recurring securities work, governance, and financing activity, with potential collaboration across commercial and procurement teams. You'll work to balance legal risk with business goals in a fast-paced, multinational setting.

Responsibilities
  • Manage core M&A, joint ventures, and strategic transactions from due diligence through closing and post-closing follow-up.
  • Coordinate cross-border transactions with regional counsel to address jurisdiction-specific requirements and timing.
  • Provide support on securities compliance, proxy/annual meeting activities, and related disclosures.
  • Support governance, subsidiary maintenance, and entity documentation aligning with board approvals.
  • Oversee outside counsel on assigned matters and collaborate with corporate development, finance, treasury, tax, and other functions to move matters forward.
  • Contribute to process improvements, templates, and use of AI-enabled legal tools for due diligence and document review.
  • Provide selective contract review/negotiation support to commercial and procurement teams when volume allows.
Key requirements
  • 3-5 years of experience in corporate securities and M&A law
  • Strong drafting, negotiation, due diligence, and closing management skills
  • Ability to handle multiple matters under time pressure with confidentiality and sound judgment
  • Experience supporting securities compliance and public-company disclosures (preferred)
  • In-house experience and familiarity with subsidiary governance and outside counsel management (preferred)
