Overview In this role you will support a premier private equity and M&A practice within a global AmLaw 50 firm. You will work with sponsors, institutional investors, and portfolio companies on complex transactions across the investment lifecycle. Responsibilities- Represent sponsors, investors, and portfolio companies across the full investment life cycle
- Advise on fund investments, platform and add-on acquisitions, and exits
- Draft and negotiate purchase and merger agreements, equity documents, and deal materials
- Assist portfolio companies with add-ons, joint ventures, and financings
- Collaborate with tax, finance, and regulatory teams to deliver integrated solutions
- Conduct due diligence and manage deal workflows from start to finish
- Coordinate with subject-matter experts to address transaction issues
- Support senior attorneys and clients in structuring, negotiating, and closing strategic transactions
- Maintain strong client relationships through responsive, solution-focused service
Key requirements- 3-8 years of substantive private equity and M&A experience
- Active bar admission in relevant jurisdiction
- Experience as an integral member of deal teams, managing significant transaction aspects
- Strong drafting skills and sound commercial judgment
- Experience representing institutional investors, sponsors, portfolio companies, or funds
- Familiarity with platform M&A and complex deal structures
- Large law firm experience preferred
