Overview As Corporate Counsel at Prosper, you will support the Capital Markets function on complex transactions involving unsecured consumer loans, credit facilities, and securitizations. You'll collaborate across teams to draft, negotiate, and close multi-party deals, while guiding operations, marketing, and strategy related to capital markets. You will act as a trusted adviser to management on legal risk and business objectives in a fast-paced environment. This role offers impact through shaping capital markets activity and handling high-stakes transactions.
Compensation / Benefits Responsibilities- Draft, negotiate, and close capital markets transactions, including credit facilities and securitizations
- Review agreements for sale/servicing of unsecured consumer loans and related contracts
- Advise on NDAs, engagement letters, and transaction documents with investors and counterparties
- Review and negotiate contracts with leverage providers, asset transfer, and back-up servicing agreements
- Support investor relations by tracking contract details and obligations across agreements
- Coordinate closings of large transactions and manage related documentation
- Support Collections/Recoveries with debt sale agreements and related docs
- Manage relationships with bank partners and program agreements
- Advise on strategic, operational, and marketing matters for capital markets
Key requirements- 4+ years of law firm and/or in-house experience with increasing responsibility
- Experience in capital markets and structured finance
- Experience leading transactional negotiations
- Strong interpersonal skills and ability to collaborate across teams
- Good judgment balancing legal risk with business objectives
- Proven ability to manage multiple projects concurrently
- Excellent written and oral communication skills
- J.D. degree and active state bar membership
