Responsibilities- Lead structured finance transactions from structuring to execution and closing
- Advise on repurchase facilities, warehouse financings, syndicated credit facilities, and securitizations
- Draft and negotiate complex financing and securitization documents
- Support securitization and structured finance across asset classes
- Assist with warehouse credit arrangements, collateral, and related matters
- Manage multiple active matters and coordinate across practice groups
- Conduct legal research and provide strategic guidance on financing structures and market developments
- Structure mortgage-backed and asset-backed financing arrangements
- Coordinate with clients, lenders, servicers, and other participants
- Provide strategic legal advice on transaction structures, risk allocation, and market trends
- Collaborate with attorneys in finance, capital markets, and related areas
Key requirements- 8+ years of substantive complex financing transaction experience
- Experience advising on repurchase facilities, warehouse facilities, syndicated lines of credit, securitizations, and secured finance
- Ability to independently manage transactions from structuring through closing
- Extensive experience drafting, reviewing, and negotiating complex financing and securitization documentation
- Strong understanding of repurchase agreements, credit agreements, pooling and servicing agreements, indentures, offering documents, and intercreditor arrangements
- Knowledge of mortgage- and asset-backed financing structures; servicing arrangements and market practices
- Ability to manage multiple transactions and deadlines with meticulous attention to detail
- Active Bar Admission in New York, in good standing
- JD from a top-tier law school with excellent academics
