Attorney - Corporate Governance

Overview

In this role, you will support the client's global corporate governance program and advise on governance matters for domestic and international entities. You will work with the senior legal team to ensure regulatory compliance and contribute to strategic governance projects. You'll draft and maintain governance documents and help implement governance policies. The position offers hybrid work and exposure to multinational governance initiatives, within a dynamic legal team.

Responsibilities
  • Draft, review, and maintain corporate governance documents (resolutions, minutes, certificates)
  • Advise on governance for U.S. and international entities
  • Prepare and maintain powers of attorney and officer appointments
  • Coordinate with external service providers for corporate records and certifications
  • Enhance governance policies in response to regulatory changes
  • Support formations, dissolutions, and restructurings while maintaining records
  • Lead preparation and execution of board and committee meetings
  • Collaborate with internal teams on governance-related initiatives and special projects
Key requirements
  • Juris Doctor (JD) degree and admission to practice in at least one U.S. jurisdiction
  • 3-7 years of corporate governance or related legal experience
  • Experience with multinational corporate structures and subsidiary governance programs
  • Strong understanding of corporate governance principles and entity lifecycle management
  • Proficiency in Microsoft Office (Word, Excel)
  • Highly organized and detail-oriented with excellent judgment and communication skills
  • Ability to manage multiple priorities in a fast-paced environment
