Overview In this role you provide practical, business-oriented legal counsel across corporate transactions, governance, and commercial matters to support growth and strategic initiatives. You will work with cross-functional teams to align legal strategy with business objectives and manage risk, including M&A, corporate finance, and contract drafting. You help safeguard the company's interests while enabling scalable, compliant operations. This position offers engagement with complex transactions and governance processes in a non-in-house setting.

Responsibilities- Lead legal work for mergers, acquisitions, divestitures, joint ventures, and strategic investments, including due diligence, documentation, and closings.
- Draft, review, and negotiate a broad range of commercial and transactional agreements (purchase/sale, shareholder/investor, financing documents).
- Advise on corporate formation, structure, capitalization, equity issuances, and securities compliance.
- Support corporate governance activities, including board/committee meetings and records maintenance.
- Develop succession planning and equity incentive strategies, considering legal, tax, and regulatory implications.
- Coordinate cross-functional teams to align legal strategy with business objectives and mitigate risk.
- Conduct legal research and provide practical guidance on statutes, regulations, and case law affecting operations and planned transactions.
- Manage external counsel relationships and budgets to ensure quality, efficiency, and cost-effectiveness.
- Identify legal/regulatory risks and implement policies to support compliance and resilience.
Key requirements- J.D. from an accredited law school and admission to PA and/or NJ bar.
- 5+ years' corporate law experience with a track record in M&A, securities, corporate finance, and commercial contracting.
- Experience with corporate formation, governance, equity issuances, and investor negotiations.
- Strong drafting and negotiation skills with complex transactional documents.
- Solid understanding of securities laws and regulatory filings for corporate transactions.
- Experience coordinating cross-functional teams and advising business stakeholders, finance, and tax professionals.
- Excellent analytical, communication, and problem-solving abilities; ability to present issues clearly in business terms.
- High attention to detail, organizational skills, and ability to manage multiple matters under deadlines.
- Preferred: in-house corporate counsel experience, succession planning and equity incentives, and familiarity with international/multi-jurisdictional transactions.
