Overview

As Senior Counsel, you will provide strategic legal counsel for corporate transactions within the MMS unit as it transitions toward independence. You will collaborate with cross-functional teams to navigate capital markets, M&A, financing, and bankruptcy-related issues, ensuring sound judgment and efficient coordination with outside counsel. Your work will help shape MMS's standalone structure and future growth. This role combines transactional leadership with practical risk management to drive enterprise-wide initiatives.

Responsibilities
  • Provide legal support for capital markets, treasury, and financing activities (debt offerings, credit facilities, liquidity initiatives, share repurchase, swaps).
  • Lead legal workstreams for acquisitions, divestitures, joint ventures, investments, and other strategic transactions, including planning, due diligence, risk assessment, approvals, documentation, closing, and post-closing integration or separation.
  • Support enterprise-wide strategic initiatives related to MMS's separation and transition to an independent public company.
  • Provide support on bankruptcy, credit, and distressed counterparty issues affecting transactions and financing arrangements.
  • Coordinate with business and legal stakeholders and manage outside counsel to balance quality, efficiency, and cost.
  • Identify legal issues and manage internal processes across complex workstreams in a matrixed environment.
Key requirements
  • Juris Doctor degree; admitted to practice before a state bar with good standing
  • 4+ years of mid-level corporate transactional experience (capital markets, M&A, financing, bankruptcy, or related complex matters)
  • Proficiency in delivering practical counsel to business leaders
  • Experience managing outside counsel and specialized advisors
