Overview As Corporate Counsel, you will support Equus' US operations by managing contracts, compliance, and corporate governance to enable growth. You will advise cross-functional teams on risk, interpretation of agreements, and dispute mitigation, while coordinating with outside counsel as needed. This role blends legal expertise with business impact in a leading, mission-driven organization focused on workforce solutions. Responsibilities- Review and draft customer contracts, leases, and related agreements to ensure risk is understood and mitigated
- Support contract lifecycle from intake to execution, including amendments, renewals, RFP/RFQ responses, and vendor onboarding
- Advise operational teams on contract interpretation, risk allocation, performance obligations, and dispute mitigation
- Support corporate governance activities including entity management, annual reports, board materials, minutes, and recordkeeping
- Assist with compliance related to corporate registrations, licensing, and contract eligibility requirements
- Manage pre-litigation disputes and coordinate with outside counsel on litigation and disputes
- Provide clear legal advice in plain English and proactively guide the business on risk and regulatory changes
- Contribute to process improvements to increase efficiency and support for senior leadership
- Develop competency across legal issues common to US operating companies
- Perform additional legal tasks and special projects as assigned by senior legal leadership
Key requirements- Experience in commercial contracts, including drafting, negotiation, and review - essential
- Employment or labor law experience - essential
- Property law experience - desired
- Experience in multinational corporate groups or law firms - desired
- Licensed in good standing in home state with ability to gain corporate counsel status in Kentucky - essential
