Overview In this role you oversee the legal entity governance and compliance program for a large, regulated organization. You will partner with Legal, Accounting, Finance, Tax, Compliance, HR, Corporate Secretary, and external advisors to ensure obligations are fulfilled and governance processes run effectively. You will drive governance strategy, strengthen controls, and improve reporting to support risk management and operational efficiency. This is a visibility-rich role that shapes the entity structure and governance framework in service of the company's mission.

Responsibilities- Lead development and execution of the legal entity governance framework, including standards, ownership, forums, escalation, and senior reporting
- Create periodic governance reporting on compliance, audits, entity lifecycle activity, and open risks
- Oversee entity lifecycle activities (creation, maintenance, dissolution) and identify simplification opportunities
- Coordinate across Legal, Corporate Secretary, Accounting, Finance, Tax, HR, Compliance, and external counsel to ensure timely and accurate obligations
- Design and maintain controls, procedures, and documentation for auditable execution of governance activities
- Collaborate on timely filing of annual reports, licenses, and other jurisdictional requirements across entities and locations
- Partner with accounting for timely financial statements and audit completion
- Oversee revenue agreement governance, including capture, monitoring, documentation, and reviews to ensure data integrity and compliance
Key requirements- Eight or more years of progressive experience in governance, compliance, accounting, finance, risk management, legal operations, or corporate administration
- Experience in a publicly traded company, financial services, or other highly regulated industry
- Bachelor's degree in Accounting, Finance, Business Administration, Legal Studies, or related field (or equivalent)
- Strong communication and relationship management skills with senior leaders
- Ability to influence outcomes and drive execution in a matrixed organization
- Experience with legal entity governance and lifecycle activities (formation, maintenance, restructuring, mergers, acquisitions, dissolution)
- Experience designing, implementing, or overseeing governance, compliance, risk management, or internal control frameworks
- Ability to identify and escalate governance and compliance risks
- Location flexibility for in-office presence (3+ days/week)
