Overview As a Capital Markets Associate at Morrison Foerster, you will support issuers, underwriters, and financial institutions across public and private offerings. You will contribute to the Capital Markets Practice Group, advising on SEC reporting, governance, and listing requirements. You'll work on complex transactions and cross-functional matters that drive client success and firm growth. Responsibilities- Support public and private offerings of equity and/or debt securities for issuers, underwriters, and financial institutions
- Advise on SEC reporting obligations and corporate governance practices for public companies
- Assist with listing requirements and governance matters for stock exchanges
- Counsel clients on Rule 144A offerings and other capital-raising transactions
- Collaborate with cross-functional teams across departments and geographies to deliver client service
Key requirements- 1-3 years of experience in '33 Act transactional work
- '34 Act compliance and corporate governance experience
- Experience representing issuers, underwriters, agents, and financial institutions in public/private offerings
- Admitted to the state bar in which practicing or eligible to waive
