Overview In this role you will provide practical, business-oriented legal guidance to support governance, securities compliance, and strategic transactions for a public company. You will collaborate with business leaders and the Legal Department to safeguard the company's interests and advance strategic objectives. The position focuses on governance and reporting, regulatory compliance, and transactional support, offering meaningful exposure to Board interactions and high-stakes matters. This role combines advisory work with cross-functional coordination to sustain lawful, efficient operations.
Responsibilities- Support corporate governance matters (board materials, meeting planning, minutes, resolutions, consents, governance policies, director/officer questionnaires, corporate records)
- Assist with SEC and public company compliance (periodic reports, proxy statements, Section 16 filings, insider trading, disclosure controls, stock exchange obligations)
- Support mergers, acquisitions, divestitures, investments, and strategic transactions (due diligence, transaction docs, closing deliverables, integration, coordination with internal and outside counsel)
- Provide legal advice on corporate structure, subsidiary governance, intercompany arrangements, entity management, and authority matters
- Review, draft, and negotiate corporate and commercial agreements related to strategic initiatives, finance, technology, confidentiality
- Monitor regulatory developments affecting governance and compliance; recommend policy updates
- Support special projects assigned by the General Counsel
Key requirements- Juris Doctor license in good standing in at least one U.S. jurisdiction
- 7 years licensed to practice law
- 4 years of legal experience in corporate governance, securities compliance, public company reporting, M&A or related matters
- 4 years of experience drafting, reviewing, and advising on corporate governance documents
- 4 years of experience drafting, reviewing, and advising on securities filings; 4 years drafting, reviewing, and advising on complex transactions including M&A and IT
