Overview In this hybrid role, you join Progress's Corporate legal team to support M&A, SEC reporting, corporate governance, and broader compliance. You will partner with internal stakeholders and outside counsel to drive transactions, filings, and governance across domestic and international entities. You'll contribute to the design of scalable processes and tools to improve efficiency in legal operations. Responsibilities- Structure and conduct legal diligence for M&A deals and manage post-closing integration tasks
- Draft and review definitive agreements and coordinate with outside counsel and internal stakeholders
- Support SEC filings and disclosure obligations, including proxy statements and Section 16 forms
- Assist with corporate governance matters and securities law compliance for boards and committees
- Support global subsidiary governance, formations, dissolutions, and restructurings
- Assist with executive compensation and equity/incentive plans
- Negotiate and manage global real estate footprint
- Build and improve tools and automation to streamline legal workflows
Key requirements- 1-3+ years of relevant corporate law experience in a law firm or in-house
- Licensed to practice law in Massachusetts or willing to obtain MA admission
- Strong organizational, project management, and multitasking skills
- Excellent written and verbal communication skills
