Overview As Assistant General Counsel - Corporate, you will partner with senior leaders to advise on SEC reporting, governance, financing, and strategic transactions within a Fortune 500 company. You'll help maintain board processes, manage regulatory compliance, and steward domestic and international structuring. This role offers meaningful impact through governance, M&A, and capital markets projects. You will work closely with the corporate legal team to enable business decisions and regulatory alignment.
Responsibilities- Assist in preparing and reviewing SEC filings (e.g., 10-K, 10-Q, 8-K, proxy)
- Support Exchange Act reporting and NYSE governance compliance
- Manage Section 16 reporting and beneficial ownership
- Draft governance materials, resolutions, minutes, and committee documentation
- Coordinate director/officer questionnaires and governance processes
- Maintain governance policies and board-related documentation
- Support financing transactions, debt facilities, and treasury matters
- Oversee domestic/international subsidiary structure and governance
- Assist with due diligence and integration on mergers/acquisitions
- Provide practical legal advice on corporate and governance matters
- Participate in special projects and other responsibilities as assigned
Key requirements- 3-5 years of relevant legal experience at a law firm or in-house for a public company
- Experience in U.S. securities laws, SEC reporting, corporate governance, and general corporate matters
- J.D. from an ABA-accredited law school; active bar license (Georgia preferred)
- Strong communication and organizational skills
- Detail-oriented with the ability to manage multiple priorities
- Proactive problem-solving and self-starter mentality
- Proficiency with Microsoft 365
- Knowledge of proxy statements, Section 16 reporting, and SEC rules
- Ability to leverage AI and emerging technologies to modernize legal operations
