Sr Counsel- Corporate Compliance

Overview

In this role you will support the Chief Legal Officer across governance, board administration, entity management, and compliance program delivery. You will maintain governance records, prepare executive materials, and drive policies that enable efficient strategic execution and scalable growth. You'll partner with cross-functional teams to manage investigations, audits, and risk assessments, ensuring strong governance and compliance. This position offers meaningful impact in shaping CRB's legal and operational integrity.

Responsibilities
  • Serve as primary legal resource on corporate governance, transactional execution, and housekeeping matters
  • Prepare materials and analyses for the CLO, executive leadership, board, and external stakeholders
  • Maintain corporate books, minutes, resolutions, and governance records; update bylaws and charters
  • Draft and update governance documents; prepare for audits and investor requests
  • Assist as Director Secretary to the Board; prepare board materials and agendas
  • Coordinate information flow to directors and committee members; manage onboarding and governance processes
  • Develop and manage the company's compliance program; draft policies and training materials
  • Monitor compliance obligations across units; escalate issues as needed
  • Partner on investigations, audits, risk assessments, and compliance reporting
  • Manage domestic and international entity formation/maintenance/dissolution; track filings and licenses
  • Provide contract drafting/review support to align with governance standards
  • Develop internal policies with CLO and drive adherence to governance standards
  • Evaluate risks across internal processes and commercial activities; propose mitigations
Key requirements
  • Juris Doctor degree and licensed to practice law in applicable state
  • 8+ years of legal experience (preferably 10-12) in construction law or corporate legal department
  • Experience drafting, reviewing, and negotiating design and construction contracts
  • Strong writing, communication, and problem-solving skills
  • Experience in corporate governance, board support, and entity management
  • Ability to research and advise on compliance issues across the company
  • Strong presentation skills and leadership development
