Overview As General Counsel, you translate vision into actionable legal strategies supporting the holding company and its portfolio. You'll apply hands-on legal judgment to align risk, compliance, and business goals, measuring success by business outcomes and value creation. Responsibilities- Provide counsel to senior management on legal matters
- Develop and implement legal policies and procedures to mitigate risks
- Ensure adherence to financial regulations and securities laws
- Structure investment funds in compliance with legal and tax requirements
- Ensure compliance with transportation regulations (vehicle safety, environmental, emissions)
- Ensure compliance with the FTC and Franchise Rule
- Provide legal counsel on corporate governance, strategic decision-making, and risk management across the portfolio
- Oversee corporate governance practices and adherence to best practices
- Prepare and review corporate documents
- Draft, review, and negotiate contracts including partnerships, vendor, supplier, and service agreements
- Coordinate with external legal counsel and represent the company in legal proceedings
- Identify, assess, and mitigate legal risks across all portfolio companies
- Conduct regular risk assessments and implement safeguarding measures
- Provide employment law support including contracts, NDAs, and non-compete clauses
- Lead AI-enabled legal tools governance to improve productivity, compliance, and risk management
Key requirements- Juris Doctor (JD) degree
- Minimum 20 years of legal experience, with significant corporate law experience
- Proven track record as General Counsel or senior legal executive, preferably in a private holding company
- Extensive knowledge of corporate, commercial, and regulatory law
- Strong negotiation, communication, and interpersonal skills
- Ability to manage multiple projects and priorities in a fast-paced environment
