Overview In this role you will provide strategic, business oriented legal guidance on data-driven products and services, focusing on data commercialization, analytics, and governance. You'll partner with Data & Analytics, Digital/Ecommerce, Marketing, Product, Partnerships, Procurement, and Information Security to enable responsible innovation while managing regulatory risk. The position offers high visibility at the intersection of retail, pharmacy, and digital tech, with opportunities to shape revenue streams and contractual frameworks.
Responsibilities- Draft, review, and negotiate data/analytics agreements (data licensing/sharing, analytics services, measurement & attribution, clean room, partner/vendor agreements)
- Advise on data commercialization models and associated legal risk tradeoffs
- Ensure privacy, data governance, and security considerations are reflected in contracts (data handling, retention, breach notification, cross-border issues)
- Identify issues under U.S. state privacy laws and sector-specific considerations impacting analytics/commercialization
- Provide practical legal guidance on IP ownership/licensing, confidentiality, and data use limitations; manage indemnities and liability clauses
- Create templates, playbooks, and negotiation guidance to streamline contracting and reduce cycle time
- Support cross-functional risk management and educate stakeholders on contract/data-risk fundamentals
Key requirements- Juris Doctorate from an accredited law school
- State bar licensure (Illinois preferred or active in another jurisdiction)
- 3+ years post-bar legal experience in law firm or in-house setting
- Experience collaborating across business lines and contributing to financial decisions
- Experience leading or coordinating cross-functional teams; willing to travel up to 10%
