Overview As a Project Attorney at Dexis, you will support the U.S. International Development Finance Corporation's Office of the General Counsel in advising on the legal and policy aspects of the DFC's equity investment program. You will lead complex international debt and equity deals, focusing on energy and infrastructure sectors in emerging markets. You will act as first chair in negotiations with borrowers, sponsors, and lenders, shaping structuring options and ensuring compliance with cross-border and DFC policy considerations. Responsibilities- Structure, diligence, negotiate and document multi-million-dollar international debt and/or equity transactions, emphasizing energy and infrastructure sectors
- Advise on transaction structures, including equity, debt, convertibles, and quasi-equity instruments (e.g., warrants)
- Handle debt financings (limited recourse, structured/corporate financings, guarantees, security, E&Ps) and equity/fund transactions (direct equity, funds, joint ventures, co-investments)
- Serve as first chair in negotiations with borrowers, sponsors, investees, co-investors, and lenders
- Manage disbursements, subscriptions and capital calls; monitor and restructure transactions globally
- Analyze foreign/international law issues, corporate matters, collateral, intercreditor arrangements, and dispute resolution in line with DFC policy
- Perform other related duties as assigned
Key requirements- J.D. or LL.B. from an accredited law school
- Current bar admission in a U.S. state, D.C., or Puerto Rico
- At least five years of full-time legal experience post-bar admission
- At least four years of specialized experience related to the position, with two years at GS-14 level or equivalent
- Experience advising on investments in direct equity and/or private equity funds in emerging markets, including negotiating and documenting transactions
- U.S. citizenship and ability to obtain/maintain a Public Trust or Secret Security clearance
