Tax Manager, Global Employer Services - M&A

Overview

In this role you will lead tax-focused due diligence on compensation and benefits for target companies within Deloitte's Global Employer Services Rewards - M&A team. You will translate complex tax requirements into practical deal solutions, collaborating with deal teams and senior leadership to assess risks and integration needs. You'll perform 280G analyses and ensure compliance with 409A, 162(m), and related rules while expanding your leadership and technical skills in a dynamic, cross-functional setting. This is a high-impact opportunity to shape deal outcomes and client outcomes in a collaborative, nationally connected practice.

Responsibilities
  • Conduct comprehensive tax due diligence on compensation, benefits, retirement, and equity programs for target companies
  • Review plan documents and employment agreements for compliance with tax laws (e.g., 409A, 162(m and reporting requirements
  • Assess risks and opportunities related to deferred compensation, stock options, and global mobility arrangements
  • Prepare findings and recommendations for deal teams and senior leadership highlighting tax exposure and integration challenges
  • Identify and analyze 280G implications in executive agreements and severance provisions; quantify excise taxes and prepare 280G calculations
  • Advise on structuring and negotiating executive compensation to mitigate 280G risks and costs
  • Support shareholder approval processes and documentation for 280G mitigation
  • Ensure rewards programs comply with applicable tax laws and maintain documentation for tax-related M&A activities
Key requirements
  • Bachelor's degree in business, finance, accounting, human resources, information systems, or related field
  • 5+ years of experience in executive compensation with knowledge of tax rules (162(m), 280G, 409A, 401(k
  • Ability to travel up to 20% on average
  • Hybrid work model requiring 2-3 days in person
  • Active accreditations (CPA, Attorney, EA, CECP, CEP, GPHR, CEBS, CPC, CPP, PMP) or equivalent
  • Limited immigration sponsorship may be available
  • Ability to work independently and in teams
  • Effective written and verbal communication
  • Meticulous attention to detail
  • Proficiency in Excel, PowerPoint, Word
  • Qualtrics is a plus
  • Strong analytical and quantitative skills
