Overview

In this role you will serve as a trusted strategic partner to the EVP, General Counsel and senior business leaders, guiding corporate governance, litigation strategy, and product-related legal support. You will oversee a broad legal portfolio, stepping in for the General Counsel on board and executive matters when needed. The position involves advising on regulatory matters, drafting disclosures, and coordinating with technology, risk, and HR teams to navigate complex issues. You will shape legal strategy for new products and platforms in a dynamic banking environment.

Responsibilities
  • Advise the EVP, General Counsel and Corporate Secretary and act in their absence
  • Support corporate legal activities, policies, and public company disclosures
  • Manage litigation lifecycle including outside counsel and strategic direction
  • Oversee discovery, pleadings, and legal document preparation
  • Supervise legal process and broader department as assigned
  • Provide leadership on strategic initiatives and product development with risk assessments
  • Support regulatory matters and engage with regulators as designated
  • Conduct legal research on complex issues impacting the Bank
  • Draft and negotiate NDAs, customer and product agreements, and disclosures
  • Review press releases and marketing materials
  • Collaborate with Technology, Compliance, and Third-Party Risk Management on risk
  • Partner with PXT to advise across the employee lifecycle and handle employment-related matters
  • Support employment-related claims and agency charges in coordination with relevant teams
  • Provide legal support for technology, product, or platform initiatives, especially in payments/fintech
Key requirements
  • 12-15 years of legal experience, preferably in-house at a bank or financial services firm
  • Licensed to practice law in Pennsylvania or New York, multi-state licensure a plus
  • Strong understanding of federal and PA banking laws and regulations
  • Proven leadership and mentoring experience in a legal team
  • Experience with corporate governance and public company matters
  • Experience in commercial litigation management and outside counsel oversight
  • Negotiation and drafting of NDAs, product and vendor agreements, and software licenses
  • Experience with employment law across the employee life cycle
  • Experience supporting technology, product, or platform initiatives in financial services/fintech
  • Experience handling subpoenas and other court documents
  • Strong judgment, executive presence, and advisory skills
  • Excellent communication across all levels and discretion with sensitive information
