Senior Counsel, M&A Integration

As Senior Counsel, M&A Integration, you will lead the legal integration of acquisitions to ensure a seamless transition aligned with Procore's global standards. You will partner with cross-functional teams to shape the integration roadmap, manage risks, and accelerate value via AI-driven processes. The role offers high-visibility across LRC and senior leadership, with the chance to influence Procore's growth through strategic integration. You will drive scalable, tech-forward playbooks that enhance deal velocity and post-close execution.

• Lead the end-to-end legal integration of acquired entities across GTM, commercial terms, operations, systems, product, privacy, compliance, and IP to align with Procore standards
• Partner with Corporate Development to identify integration risks during due diligence and shape the integration roadmap
• Serve as the central legal liaison between Commercial Legal and Privacy, Security, Product Legal, and Finance to meet milestones
• Coordinate executive outreach and provide clear updates on milestones and blockers
• Streamline transition of acquired customer and vendor contracts for a unified post-close GTM motion
• Develop scalable legal integration playbooks, processes, and templates leveraging AI tools
• Provide AI thought leadership to create scalable, tech-forward integration processes
• Identify and remediate legal risks during integration, including data residency and global privacy compliance

• J.D. and active State Bar in good standing
• 10+ years in M&A integration, legal operations, and complex commercial legal matters
• Experience in SaaS or high-growth technology companies, in-house or at national firms
• Extensive experience in SaaS/commercial technology transactions and global privacy laws
• Strong AI-forward mindset and exposure to AI tools (e.g., Gemini, NotebookLM, Harvey is a plus)
• Change management experience designing legal enablement for acquired sales teams
• Excellent communication skills and ability to advise at all levels
• Strong project management, operational discipline, and process improvement capabilities
• High integrity with sound judgment and discretion
• Collaborative leadership and ability to influence without direct authority
• Proficiency with Google Workspace, Airtable, Slack, Salesforce, and Ironclad is a plus
