Overview

In this role you will advise public and private companies on securities and governance matters, actively drafting and reviewing filings and supporting capital markets transactions. You will work within a corporate securities practice at a New York law firm that partners closely with clients and offers meaningful responsibility. You'll tackle complex transactions, provide practical compliance guidance, and collaborate with cross-functional teams to deliver sophisticated legal solutions. Responsibilities
  • Advise on Securities Act and Exchange Act compliance for public and private companies
  • Draft and review SEC filings (periodic reports, current reports, proxy statements, registration statements, Section 16)
  • Counsel on corporate governance, board matters, and disclosure controls
  • Support capital markets transactions (public offerings, private placements) and due diligence
  • Assist with mergers, acquisitions and strategic transactions involving securities and disclosures
  • Coordinate with auditors, underwriters, transfer agents, and other external advisors
  • Monitor regulatory developments and advise clients and internal stakeholders
Key requirements
  • J.D. from an accredited law school
  • Active admission to the New York Bar
  • 5+ years corporate securities experience in a law firm or in-house
  • Strong experience preparing and managing SEC filings
  • Thorough understanding of public company reporting requirements and governance
  • Experience supporting securities offerings and strategic transactions
  • Exceptional drafting, analytical, and client counseling skills
