Overview In this role you will advise on general corporate matters and support domestic and international transactions, governance, and global compliance. You will partner with cross-functional teams to identify risks, draft and negotiate key documents, and support disclosure and reporting processes. The position sits within the Legal department and offers exposure to multi-national corporate activity and governance, contributing to strategic business initiatives.
Responsibilities- Act as a strategic advisor on general corporate matters and surface risks with practical solutions
- Review, draft, and negotiate documents for domestic and international transactions (acquisitions, dispositions, financings, developments, joint ventures)
- Support corporate governance processes, including board and committee materials and minutes
- Draft and negotiate confidentiality agreements, engagement letters, and letters of intents
- Support global corporate compliance, including policies and investigations
- Support debt and investor reporting and disclosure processes
- Collaborate cross-functionally with other department members and across the company
Key requirements- Active member of a state bar
- 4-7 years of corporate law experience, preferably in a law firm or multinational corporate department
- Exceptional attention to detail
- Excellent writing, drafting, negotiation, and analytical skills
- Experience supporting global corporate transactions, financings, and governance
- Commercially minded, proactive, adaptable, and intellectually curious with ability to learn quickly in a fast-paced environment
- Ability to work under pressure, manage multiple projects, meet deadlines, and handle urgent situations with diplomacy
- Ability to work independently and as part of a team
- Experience with tax and REIT issues is a plus
- Juris Doctor degree from an accredited law school
