Overview As a Conflicts Attorney focusing on Client Terms, you guide engagement letters, guidelines, and related terms to protect the firm's interests while enabling practical, client-friendly agreements. You will collaborate with colleagues across a global firm, balancing legal risk with commercial priorities. The role emphasizes negotiation, risk assessment, and policy development to support compliant, auditable client engagements. This is a hands-on position for an experienced attorney shaping terms that align with the firm's risk and client-service goals.

Responsibilities- Review client engagement terms and related documents (outside counsel guidelines, NDAs, codes of conduct)
- Advise attorneys on legal, commercial, operational, and risk implications of proposed terms
- Lead or support negotiations with clients and firm attorneys to protect the firm while honoring client priorities
- Identify material legal, regulatory, compliance, and business risks and coordinate with subject matter experts and General Counsel
- Review changes to standard engagement terms and advise on exceptions and deviations
- Serve as risk/compliance resource for client, vendor, and banking questionnaires and RFPs
- Guide Conflicts Attorneys and Analysts on complex client terms
- Develop and improve negotiation strategies, workflows, and documentation for client engagement terms
- Ensure finalized terms and commitments are properly documented and auditable
- Monitor legal/regulatory developments and update policies and processes
- Lead or support risk/compliance technology projects related to contract management
Key requirements- J.D. with active U.S. licensure
- 5+ years of legal practice in a law firm or professional services environment (large law firm preferred)
- 2+ years in compliance, risk management, in-house, or contract-focused work
- Experience reviewing and negotiating client-drafted contracts or engagement terms
- Strong legal, commercial, analytical, and problem-solving judgment
- Excellent communication, negotiation, and relationship-building skills
- Strong organizational and project management skills
- Ability to work independently, navigate ambiguity, and manage confidential matters
