Overview

As Counsel, Commercial, you will support CoreWeave's Global Field Organization in closing complex commercial cloud, SaaS, and infrastructure transactions with enterprise customers. You will negotiate agreements, assess legal and commercial risk, and scale contract processes to sustain growth. You will collaborate cross-functionally with Sales, Product, Security, Privacy, Finance, and Operations to drive outcomes. This role offers meaningful impact in a fast-paced, hyper-growth AI cloud company, with a clear path to shaping scalable legal support.

Responsibilities
  • Draft, review, and negotiate complex commercial technology agreements with enterprise customers (cloud services, SaaS, infrastructure/IaaS, licensing, professional services, partnerships, data processing).
  • Support enterprise sales cycles with the Global Field Organization to drive successful transactions.
  • Advise on legal, privacy, and commercial risks and propose practical solutions.
  • Manage multiple concurrent transactions balancing risk, business objectives, and speed.
  • Provide practical, business-oriented legal guidance throughout the transaction lifecycle.
  • Identify and escalate novel or high-risk issues with sound judgment.
  • Develop and improve contract templates, playbooks, policies, and processes for scalable support.
  • Coordinate with outside counsel for specialized matters when needed.
Key requirements
  • JD degree and active membership in at least one U.S. state bar.
  • 5+ years in-house and/or law firm with focus on commercial technology transactions.
  • Experience supporting fast-paced enterprise sales and negotiating SaaS, IaaS, cloud services, and licensing agreements.
  • Experience negotiating data processing agreements and identifying privacy issues in transactions.
  • Ability to independently manage complex negotiations with sound judgment on escalation and risk.
  • Proven ability to provide practical, business-oriented legal advice in a fast-paced environment.
  • Strong written and verbal communication; ability to influence and build cross-functional relationships.
  • Excellent attention to detail and organizational skills; multi-priority management.
