Director Legal Counsel: Investment Company Attorney

Overview

In this role you help safeguard the regulatory and contractual framework for Schwab Asset Management's registered funds. You will collaborate with business partners and cross-functional teams to ensure compliant guidance and robust documentation. You shape fund-related legal strategy, negotiate with counterparties, and monitor evolving regulations affecting funds. This is an opportunity to influence how Schwab delivers reliable investment products at scale while partnering with senior leaders.

Responsibilities
  • Prepare and file prospectuses and registration statements
  • Advise on legal and regulatory requirements for registered funds, including money market funds under Rule 2a-7
  • Draft and negotiate agreements with third-party service providers
  • Draft and negotiate repurchase agreements
  • Assist with preparing annual, quarterly, and current reports
  • Provide legal guidance on related marketing, disclosures, policies and procedures
  • Monitor regulatory developments applicable to registered funds and advise the business on impact
  • Coordinate with outside counsel
  • Build and maintain partnerships with business teams, compliance, and other Schwab legal teams
  • Collaborate cross-functionally with attorneys on other Schwab legal groups and update internal partners on industry/product developments
Key requirements
  • Juris Doctor (JD) from a top-tier law school and active state bar membership
  • 5-10 years of legal experience in a large broker-dealer or asset management firm
  • Strong drafting skills and attention to detail
  • Ability to identify and analyze contractual issues and provide solutions
  • Developed negotiation skills and willingness to engage with counterparties
  • Excellent oral and written communication; ability to present to senior leaders
  • Ability to manage multiple projects, prioritize, and meet deadlines
  • Self-motivated with excellent people skills and ability to work independently
  • Authorization to work in the U.S. now and in the future without sponsorship
