Overview In this role you will leverage deep Private Equity expertise to create and maintain Practical Law content aligned with market practice. You will edit and refine material, track evolving legal developments, and support AI-powered legal solutions. You'll collaborate with cross-functional teams and industry lawyers to ensure practical, accurate guidance. Responsibilities- Research, write, and maintain current, practical private equity content aligned with market practice and business objectives
- Review and edit content produced by others, including external contributors
- Stay updated on legal developments to keep content accurate and relevant
- Support the development of Thomson Reuters AI-powered legal solutions using your legal expertise
- Support internal AI editorial tools with editorial input
- Build relationships with lawyers and industry groups to reflect current market practice
- Collaborate with product management, sales, marketing, and technology teams as needed
Key requirements- Juris Doctor with a current license to practice in at least one US jurisdiction
- 8 years' sponsor-side Private Equity experience leading complex M&A deals
- Extensive experience advising PE sponsors, portfolio companies, co-investors, and lenders on acquisitions/dispositions, growth investments, and exits
- Experience in structuring and negotiating LBOs, minority/majority investments, carve-outs, take-privates, and add-ons; drafting SPAs, merger agreements, stock/asset purchase agreements, LLC/LP agreements, financing and related documents
- Advising on governance, management rollover, incentive equity, earn-outs, and shareholder equity arrangements
- Familiarity with LBO structures, fund economics, financing terms, and private fund formation (preferred)
- Strong writing and editing skills with ability to explain practice in clear, plain English
- Collaborative mindset and ability to work independently and in teams
- Strong technical skills and experience with AI tools to enhance productivity and accuracy
- Adaptability to diverse projects in the generative AI space and in AI-enabled legal practice
