Overview In this role you lead the Global Capital Formation legal function, advising on global fund formation, capital raising, and investor negotiations across diverse private markets. You will shape product structuring and regulatory governance, partnering with leadership to drive fundraising and product strategy. You'll oversee legal risk, coordinate with cross functional teams, and manage external counsel to ensure efficient, compliant fund launches. Responsibilities- Lead and manage the Global Capital Formation legal function for private funds across multiple strategies
- Oversee structuring, launch, and administration of global funds, co investments, parallel structures, and SMAs
- Draft and supervise core private fund documents (LPA, PPM, subscription agreements, IMA, side letters)
- Engage with senior leadership and investment teams to resolve complex structuring and investor matters
- Provide strategic legal guidance on new private markets products and investor solutions, partnering with IR and distribution on fundraising
- Advise on regulatory matters under the Advisers Act, Securities Act, and Investment Company Act; develop fund policies
- Review/approve investor communications and marketing materials for compliance
- Oversee Form ADV and other regulatory filings for private markets entities
- Collaborate with investment, finance, compliance, tax, operations, and IR to support capital formation
- Manage external counsel for efficient, cost effective, consistent global fund launches
- Serve as principal legal advisor to Global Capital Formation and strategic partner to business leadership
- Lead and develop a high performing team; drive process improvements and fundraising workflows
- Contribute to strategic planning for long term growth of the Private Markets platform
Key requirements- Juris Doctor with strong academic background
- 10+ years in private fund formation at asset manager or leading law firm
- Proven leadership and cross functional collaboration with senior stakeholders
