Overview In this Senior Counsel role, you will act as a key legal adviser for complex real estate transactions, with a focus on affordable housing investments. You will structure, negotiate, and execute joint venture arrangements with developers and support the full investment lifecycle from acquisition to disposition. You will partner with Affordable Equity and Development teams to deliver practical, business-minded legal guidance that enables affordable housing outcomes. You will mentor peers and contribute to a high-performing legal function, while aligning transactions with the company's mission and risk framework.

Responsibilities- Lead structuring, negotiation, and execution of joint venture agreements with affordable housing developers, including operating and governance documents
- Advise on partnership economics, control rights, capital structures, and exit strategies
- Draft, review, and negotiate purchase and sale, development, and property management agreements
- Support investments across acquisition, financing, development, leasing, stabilization, and disposition
- Structure and negotiate equity and debt financing (LIHTC equity, tax-exempt bonds, conventional financing)
- Oversee real estate due diligence (title, survey, zoning, regulatory compliance, development risk)
- Collaborate with external counsel, developers, lenders, and investors to resolve complex issues
- Advise on asset management, amendments, restructurings, and exits
- Serve as primary legal contact for transactions and business teams
- Mentor junior team members and contribute to a collaborative legal function
- Support Divisional General Counsel on broader initiatives
Key requirements- J.D. from an accredited law school
- Active bar admission in good standing with at least one U.S. state bar
- 10+ years of real estate transactional experience
- Proven track record leading and negotiating joint venture agreements and complex real estate deals
- Experience in affordable housing, LIHTC transactions, and real estate finance preferred
- Experience advising developers, sponsors, or equity partners is a plus
- Strong drafting, negotiation, and analytical skills
- Ability to manage multiple complex transactions in a fast-paced environment
