Overview

In this role you will serve as a strategic partner to Snap's Corporate Legal team, helping shape major transactions and governance. You will work across acquisitions, investments, and capital markets to enable Snap's growth while managing risk and compliance. You will collaborate with cross-functional partners to draft and negotiate complex agreements and oversee post-closing actions and SEC filings. You will also drive process improvements and AI-enabled efficiencies to support the business. This is a high-impact role at a fast-moving company that values practical, creative problem-solving.

Responsibilities
  • Collaborate on acquisitions, investments, strategic transactions, financings, securities, and corporate governance
  • Perform due diligence, draft/review/negotiation of acquisition agreements and ancillary documents, assist with post-closing integration and indemnification
  • Draft/review equity and convertible debt agreements and manage existing investments
  • Support corporate finance and capital markets matters, including debt issuances, conversions, and stock repurchases
  • Develop relationships with cross-functional teams (finance, strategy, treasury, tax, accounting, people, investor relations)
  • Assist with SEC filings (registration statements, Forms 10-K/10-Q/8-K)
  • Manage corporate governance and administration for Snap and subsidiaries, including international outside counsel and filings
  • Contribute to process/template improvements and AI efficiency initiatives
  • Advise clients on business/legal issues, risk, policies, and strategy
  • Leverage AI resources to enhance daily accuracy and efficiency
Key requirements
  • J.D. from an accredited law school
  • Active membership in at least one U.S. State bar
  • 8+ years of corporate law experience in-house or at a law firm
  • Strong business judgment
  • Attention to detail with practical/legal problem solving
  • Willingness to roll up sleeves and support the team
  • Knowledge of corporate law, securities, and governance
  • Experience with due diligence for M&A and investments
  • Drafting and negotiating acquisition agreements and related documents
