Overview

In this role you will join a premier AmLaw 50 firm as a mid-level associate in the Debt Finance Practice. You will work on complex leveraged finance transactions for private equity sponsors, banks, and lenders across multiple industries. You will draft and negotiate key financing documents and coordinate with cross-functional teams to support high-value deals. Responsibilities
  • Represent PE sponsors and financial institutions in sophisticated debt finance transactions including LBOs, dividend recaps, and acquisition financings
  • Draft, negotiate, and manage financing documents such as commitment papers, credit agreements, and security documents
  • Advise on structuring and execution of senior, mezzanine, and unitranche facilities
  • Collaborate with teams across private equity, M&A, tax, and restructuring to provide comprehensive transactional support
  • Contribute throughout all transaction stages from term sheet to closing
Key requirements
  • J.D. from a top-tier law school
  • Active Bar Admission in the relevant jurisdiction or eligibility to obtain admission promptly
  • 3-5 years of substantive experience representing PE sponsors, banks, or private credit lenders in leveraged finance
  • Experience structuring, drafting, and negotiating term and revolving credit facilities
  • Prior experience at an AmLaw 100 or similarly sophisticated firm preferred
  • Excellent communication and organizational abilities
  • Analytical mindset
  • Ability to manage complex workstreams and coordinate with multiple stakeholders
  • Drafting and negotiating commitment letters, credit agreements, and collateral documents
  • Knowledge of senior, mezzanine, and unitranche financing structures
  • Strong drafting and negotiation of loan and security documents
