Overview As Corporate Counsel in Lam Research's Corporate and General Legal - U.S. team, you will support commercial and collaborative activities, guiding complex transactions and protecting confidential information and IP. You will partner with the global Lam Legal team to provide timely legal advice, develop playbooks and templates, and help navigation of regulatory and internal policies. The role blends negotiation, risk management, and strategic advice to enable business objectives. This is a high-impact, cross-functional position at the heart of Lam's growth and compliance efforts.
Responsibilities- Negotiate, draft, and review complex commercial agreements (equipment sales, service, joint development, software licenses, NDAs, data security)
- Advise business units to meet objectives while safeguarding confidential information and IP and ensuring compliance
- Provide strategic support and cross-functional partnership for company objectives
- Develop training materials, playbooks, contract templates, and process improvements for efficient legal support
- Deliver timely legal advice on corporate and commercial matters including IP, data security/privacy, antitrust, ethics and compliance, and product safety
- Monitor legal developments and escalate as needed to maintain compliant processes
- Collaborate with global Lam Legal team and specialists for review and approval processes
- Work with business units on implementation and training to ensure regulatory and policy compliance
- Interpret and communicate policy requirements to business units
- Domestic and international travel may be required
Key requirements- J.D. or equivalent with bar admission; Oregon or California bar preferred
- 4+ years of experience in a multinational company setting
- Strong contracts, process experience, antitrust, and ethics/compliance knowledge
- Demonstrated expertise drafting, reviewing, and negotiating commercial contracts
- Solid knowledge of common contractual issues in sales and collaboration agreements
- Excellent English communication; ability to explain complex topics to legal and non-legal partners
- Ability to manage multiple priorities in a matrixed environment and work independently
- Experience in digitized contracting tools and contract lifecycle management
