Overview In this role you will advise on representations & warranties insurance within M&A, working with private equity sponsors, corporates and deal teams to structure and place RWI policies. You will review and negotiate RWI policies and SPAs, analyse coverage exclusions and retention structures, and ensure policy language aligns with deal objectives. You will engage closely with M&A partners and clients on live transactions, balancing precision with deal momentum under signing timetables. This position offers a platform to build a distinctive transactional risk practice at the forefront of the market, with exposure to complex domestic and cross-border deals.
Responsibilities- Review and negotiate representations & warranties insurance policies (RWI)
- Advise on risk allocation provisions within SPAs
- Analyse coverage exclusions, retentions, and policy mechanics
- Coordinate with insurers, underwriters, and deal teams on policy placement
- Draft and negotiate transactional documents to align with insurance objectives
- Engage with private equity sponsors, corporates, and deal teams on live transactions
- Ensure policy language matches commercial objectives and signing timetables
- Contribute to cross-border deal experience and niche practice development
Key requirements- 5-8+ years of relevant experience
- Strong exposure to RWI/W&I insurance within transactional M&A
- Experience analysing SPAs, disclosure schedules, and diligence in RWI placement
- Excellent drafting and negotiation skills
- Strong academic background
- Ability to manage sophisticated counterparties across PE and corporate deal teams
- Strong commercial judgement in fast-paced deal environments
