Overview In this role you oversee contract management growth and policy improvement for a busy law firm. You provide legal guidance on vendor contracts, client questionnaires and business associate agreements to support fast-paced operations. You will improve contract lifecycle processes, supplier risk governance, and ensure compliance across terms and privacy controls. Your work helps the firm negotiate favorable terms while maintaining rigorous risk management, in a collaborative, cross-functional environment.

Responsibilities- Review and draft contractual language and standardize terms for vendors
- Analyze and provide feedback on vendor agreements, statements of work, and renewals
- Negotiate agreements to optimize service and protect the firm
- Build a library of standard agreements and a playbook of preferred terms
- Create checklists and best practices for vendor terms across contract types (SaaS, Gen AI tools, HR benefits, events)
- Coordinate with Office of General Counsel on privacy, confidentiality, information security, insurance, and indemnification compliance
- Support system development and improvement of contract lifecycle management
- Evaluate tools for contract lifecycle management (renewals, terminations, data destruction)
- Contribute to supplier risk management policy implementation and monitoring
- Stay informed on sourcing and procurement trends related to legal contracting
- Conduct legal research and draft memoranda on procurement rules, contract enforcement, and privacy laws
- Train firm managers on contract lifecycle and best practices
- Supervise junior lawyers' review of vendor contracts and staff assignments
- Review and edit data protection addenda and NDAs for vendor contracts
- Assist stakeholders with client vendor questionnaires
- Assist IT with review of business associate agreements
- Take on additional responsibilities as needed
Key requirements- Juris Doctor degree from an accredited law school
- Admission to the state bar in MA or NY
- Three to five years of legal experience including drafting and negotiating supplier, NDA, and BAA agreements
- Strong business judgment and analytical, problem-solving, and writing skills
- Ability to communicate complex matters to diverse audiences
- Familiarity with HIPAA, GDPR, and state privacy laws a plus
- Ability to work under pressure in a fast-paced environment
- Procurement certification (e.g., CIPS, ISM) a plus
- Proficiency with generative AI tools like Harvey a plus
- Proficiency with contract management systems and legal research tools a plus
