Overview

In this role you will ensure SEC and NYSE compliance, support governance and reporting for a public company, and advise on equity and debt financings, acquisitions, and international expansion. You will collaborate with the CLO and CFO, shaping policies and ensuring regulatory interpretation across multiple markets. The position combines legal risk management with strategic business guidance in a fast-paced energy technology environment. You'll contribute to a growing governance program at Bloom Energy, helping enable reliable, sustainable energy solutions.

Responsibilities
  • Ensure compliance with SEC laws, NYSE rules, Sarbanes-Oxley, and 1934 Act; manage 10-K/10-Q/8-K and proxy reporting.
  • Collaborate with the CLO and CFO on earnings releases, investor conferences, and disclosure issues.
  • Design and develop corporate policies and governance programs for a public company; advise on legal implications of matters.
  • Serve as counsel on corporate equity and debt financings, including M&A, divestitures, and joint ventures.
  • Support board activities and maintain governance processes; advise on international regulatory matters.
  • Advise on legal issues related to international expansion and oversee stock administration support.
  • Keep the Legal team informed on governance trends, SEC issues, and best practices.
  • Oversee maintenance of foreign and domestic subsidiaries.
Key requirements
  • Minimum 10 years of related experience with a Bachelor's and law degree from an accredited law school; at least 5 years at a law firm.
  • In-house experience at a public company is required.
  • International experience desired; ability to implement policies across an international organization.
  • Ability to multitask in a fast-paced environment.
  • Experience in a manufacturing and/or energy environment is a plus.
