Overview As a Healthcare Transactional / Real Estate Associate, you support sophisticated deals at the health care and real estate intersection, handling acquisitions, dispositions, leases, and financing. You coordinate cross-functional teams to guide due diligence, structuring, and closing from start to finish. You advise on healthcare regulatory considerations and collaborate with lenders, title companies, and counsel. This role sits in a top Am Law 100 firm and offers growth through multidisciplinary, impactful transactions. You'll shape deals for hospitals, health systems, developers, and providers within a collaborative culture.

Responsibilities- Draft, review and negotiate purchase and sale agreements, leases, easements, covenants, and related real estate documents
- Lead and manage due diligence (title, survey, zoning, environmental, regulatory) and resolve issues
- Advise on structuring healthcare + real estate transactions (sale-leasebacks, joint ventures, ground leases, build-to-suit) considering regulatory constraints
- Coordinate closing processes with lenders, title companies, escrow agents, tax advisors, and other stakeholders
- Support acquisitions and dispositions for hospitals, health systems, physician groups, developers, REITs and private equity, including tax and financing considerations
- Work with regulatory and compliance teams to ensure transactions meet payor, licensure and healthcare requirements
- Counsel on leasing matters including TI, subleasing, estoppel, CAM, rent structures, renewals/terminations
- Manage client relationships and coordinate across healthcare regulatory, corporate, tax, and finance teams and external parties
- Supervise and mentor junior associates and paralegals, delegating work and providing feedback
- Maintain matter budgets and time/billing accuracy while flagging risks to partners and clients
Key requirements- Juris Doctor (JD) from an accredited law school
- 3+ years of law firm experience in real estate transactional work (acquisitions, dispositions, leasing, closings)
- Healthcare transactional experience a plus
- Proven experience drafting and negotiating real estate documents (purchase agreements, leases)
- Strong knowledge of healthcare regulatory issues affecting real estate (Stark Law, Anti-Kickback Statute, state licensure, CON) and coordinating with regulatory counsel
- Experience conducting and managing due diligence and resolving title/survey issues
- Experience coordinating with lenders, title companies, escrow agents, and real estate finance documents (preferred)
