Overview In this role you will shape ADARx's public company posture and capital markets activity as a strategic partner to leadership. You'll guide governance, SEC reporting, and major transactions to support growth from clinical-stage biotechnology into commercial readiness. You will work across finance, BD, and IR to ensure compliant, practical legal support that enables fast, cross-functional execution. This position combines biotech experience with sophisticated securities and governance work to drive shareholder value. You will play a pivotal role in shaping the company's public company processes, disclosures, and strategic deals.

Responsibilities- Support Securities Act and Exchange Act compliance and public company readiness workstreams
- Prepare and coordinate SEC filings (registrations, periodic, current, proxy, Section 16, equity plan registrations)
- Manage insider trading compliance, blackout procedures, Rule 10b5-1 plans, and related communications
- Collaborate with finance and IR on disclosure reviews for earnings, investor materials, and external communications
- Support equity compensation matters including plan administration and disclosures
- Advise management and board on corporate governance and fiduciary duties; prepare board materials and records
- Support annual shareholder meeting planning, D&O questionnaires, and corporate secretarial functions
- Monitor SEC, Nasdaq, Delaware governance changes and translate into actionable steps
- Support business development and strategic transactions (licensing, collaborations, M&A, strategies)
- Coordinate due diligence, closing deliverables, and post-closing obligations
- Develop public company infrastructure (disclosures, processes, training)
- Provide training on securities law, disclosure, insider trading, and public company expectations
- Manage outside counsel with budgeting, allocation, and QC
Key requirements- J.D. from an accredited law school and active bar admission in at least one U.S. state
- 8-10 years of experience in corporate, securities, capital markets, M&A, or governance
- Strong knowledge of Securities Act and Exchange Act, SEC reporting, governance, and capital markets transactions
- Experience advising public and private companies on transactional, governance, and disclosure matters
- Excellent drafting, negotiation, project management, communication, and judgment skills
