Overview

In this role, you will advise on privacy, data processing, and cybersecurity in corporate transactions such as M&A and capital markets. You join a nationally recognized Data, Privacy & Cybersecurity practice, collaborating with cross-functional teams on cutting-edge technology deals. You will conduct diligence, draft and negotiate privacy provisions, and guide risk management in complex transactions. The work spans AI, ML, cloud, software, and fintech, offering meaningful client impact and career development.

Responsibilities
  • Advise on privacy and cybersecurity issues in mergers, offerings, and other transactions
  • Conduct diligence related to privacy and cybersecurity in corporate tech deals
  • Draft, review, and negotiate transaction-related privacy and data protection provisions
  • Counsel on privacy compliance obligations and risk management in complex transactions
  • Collaborate with corporate, technology, IP, and regulatory teams on cross-border matters
  • Support innovative tech-focused companies across AI, ML, cloud, software, and fintech
Key requirements
  • JD from a top-tier law school
  • Active Bar Admission in Texas or California, in good standing
  • 1-7 years of experience in privacy, data processing, cybersecurity, and transactional matters
  • Experience with M&A, capital markets, technology transactions, or similar transactional work
  • Experience advising technology-focused clients preferred
  • Familiarity with regulatory policy and enforcement desirable
  • CIPP certification a plus
